1. Definitions and Interpretation
1.1 “Company” means Goodsnet Holdings Limited.
1.2 “Customer” means any person or entity purchasing or accessing Goodsnet’s Services.
1.3 “Goods” refers to all food products, whether perishable (e.g., fresh or chilled meat, dairy products) or non-perishable (e.g., shelf-stable goods such as protein powders or jerky), sold by the Company.
1.4 “Services” refers to the Company's website, product ordering platform, and associated sale and delivery systems.
2. Acceptance of Terms
2.1 These Terms and Conditions govern all sales and services provided by the Company. By placing an order or using the Services, the Customer is deemed to have accepted and agreed to these Terms.
2.2 If the Customer does not agree to these Terms, they must refrain from using the Services or placing an order.
3. Eligibility and Capacity
3.1 The Customer must be aged 18 years or older, or have the legal consent of a parent or guardian to use the Services.
3.2 By placing an order, the Customer warrants that they have the legal authority and capacity to enter into a binding contract.
4. Ordering, Acceptance, and Pricing
4.1 All orders are offers by the Customer to purchase Goods in accordance with these Terms. Orders are subject to acceptance by the Company.
4.2 The Company reserves the right to reject or cancel orders for any reason, including stock unavailability, pricing errors, or concerns regarding delivery to the requested location.
4.3 All prices are listed in New Zealand Dollars (NZD) and include GST unless expressly stated otherwise. Prices are subject to change at any time without prior notice.
4.4 Promotional offers, discounts, and bundles are offered at the Company’s discretion and may be withdrawn at any time.
5. Payment Terms
5.1 Payment must be made in full at the time of purchase using one of the following accepted methods: Visa, Mastercard, American Express, Apple Pay, Google Pay, Shop Pay, PayPal, or Afterpay.
5.2 Title to the Goods shall not pass to the Customer until full payment has been received and cleared.
6. Shipping and Delivery
6.1 Estimated delivery times will be provided at the time of checkout. The Company does not guarantee delivery dates and is not liable for delays caused by couriers, weather, customs, or force majeure events.
6.2 Delivery of perishable Goods may require refrigeration or prompt consumption. It is the Customer’s responsibility to ensure someone is available to receive the Goods on the estimated delivery date.
6.3 Risk in the Goods passes to the Customer upon delivery to the nominated address. Title remains with the Company until full payment is received.
6.4 The Company is not liable for spoilage, damage, or loss resulting from failure to collect or receive perishable Goods in a timely manner.
7. Returns and Refunds
7.1 Perishable Goods: Due to the nature of perishable food items, returns for change of mind are not accepted. Refunds or replacements will only be provided if the Goods are faulty, not as described, or damaged in transit, and notice is given within 48 hours of delivery.
7.2 Non-Perishable Goods: Returns for non-perishable items due to change of mind are accepted within 10 days of delivery, provided the item is unopened, unused, and in resalable condition. Proof of purchase must be provided. Return shipping is at the Customer’s expense.
7.3 Damaged or Incorrect Items: In the event of receiving incorrect or damaged Goods, the Customer must notify the Company within 48 hours of receipt, providing photographic evidence where applicable. The Company will arrange for replacement or refund, including return shipping costs.
7.4 Refunds: Approved refunds will be issued to the original payment method and may take up to 10 business days to process.
8. Product Quality and Storage
8.1 The Company warrants that all Goods supplied will comply with New Zealand food safety regulations and are fit for human consumption at the time of dispatch.
8.2 It is the Customer’s responsibility to ensure that perishable Goods are stored appropriately (e.g., refrigeration if required) upon receipt.
8.3 The Company accepts no liability for degradation or spoilage due to improper handling or storage by the Customer after delivery.
9. Intellectual Property
9.1 All website content, product descriptions, images, logos, and other intellectual property are owned or licensed by the Company. Use of this material without written permission is strictly prohibited.
10. Privacy
10.1 The Company collects and processes Customer data in accordance with its Privacy Policy, which forms part of these Terms. By using the Services, the Customer consents to the collection and use of personal information as outlined therein.
11. Liability and Consumer Guarantees
11.1 To the fullest extent permitted by law, the Company excludes all liability for indirect, incidental, special, or consequential loss or damage arising from the use of Goods or Services.
11.2 Nothing in these Terms affects the Customer’s rights under the Consumer Guarantees Act 1993 (NZ). Where the Customer is acquiring Goods for business purposes, the provisions of the Act do not apply pursuant to section 43.
12. Force Majeure
12.1 The Company shall not be liable for any delay or failure to perform its obligations under these Terms due to any cause beyond its reasonable control, including but not limited to natural disasters, pandemics, strikes, transport failures, or supplier shortages.
13. Dispute Resolution
13.1 Any disputes arising under or in connection with these Terms shall be governed by the laws of New Zealand.
13.2 The parties agree to submit to the exclusive jurisdiction of the New Zealand courts.
14. Amendments
14.1 The Company reserves the right to amend these Terms at any time without notice. Any amendments will be published on the Company’s website and will be effective from the date of publication.
14.2 Continued use of the Services following any changes constitutes acceptance of the amended Terms.
