Goodsnet Holdings Ltd – Supplier Terms and Conditions
1. Purpose
These Supplier Terms & Conditions ("Terms") establish the minimum commercial, technical and regulatory requirements for all suppliers, manufacturers, brand owners and authorised representatives supplying products or services to Goodsnet Holdings Ltd ("Goodsnet").
These Terms form part of Goodsnet's Supplier Approval Programme and Food Safety & Quality Management System (FSQMS) and apply to all products and services supplied to Goodsnet unless otherwise agreed in writing.
Acceptance of a Purchase Order, commencement of work, supply of goods or engagement of Goodsnet's professional services constitutes acceptance of these Terms.
2. Supplier Approval
All suppliers and manufacturers must successfully complete Goodsnet's Supplier Approval Programme before products are approved for importation or distribution.
Suppliers shall maintain:
- Current food safety certifications.
- Government registrations and licences (where applicable).
- Approved manufacturing facilities.
- Current technical documentation.
- Appropriate insurance.
- Product traceability systems.
- Ongoing compliance with Goodsnet's Food Safety & Quality Management System.
Goodsnet reserves the right to reassess suppliers at any time.
3. Product Approval
Every product supplied through Goodsnet must successfully complete Goodsnet's Product Approval Process before importation, sale or distribution.
Suppliers may be required to provide:
- Technical Product Specification.
- Product formulation.
- Ingredient declaration.
- Nutrition Information Panel.
- Allergen information.
- Product claims and substantiation.
- Product labels and artwork.
- Packaging specifications.
- Shelf-life validation.
- Storage and transport requirements.
- Certificates of Analysis (COAs).
- Chemical and microbiological test results.
- Country of Origin documentation.
- Product images.
- Traceability documentation.
Products shall not be supplied until written approval has been issued by Goodsnet.
4. Food Safety & Regulatory Compliance
All products supplied to Goodsnet must comply with all applicable legislation, regulations and retailer requirements, including but not limited to:
- Food Act 2014
- Food Regulations 2015
- Australia New Zealand Food Standards Code
- Biosecurity Act 1993
- Animal Products Act 1999 (where applicable)
- Agricultural Compounds and Veterinary Medicines Act 1997 (where applicable)
- Ministry for Primary Industries (MPI) requirements
- Import Health Standards (where applicable)
- Customs and Border requirements
- Retailer technical standards
Suppliers remain responsible for ensuring ongoing compliance throughout the life of the product.
5. Food Safety & Quality Management
Suppliers shall operate an appropriate Food Safety Management System suitable for the products being supplied.
Where applicable, suppliers shall maintain certification to recognised standards including:
- HACCP
- BRCGS
- SQF
- FSSC 22000
- ISO 22000
- Food Control Plan (FCP)
- National Programme (NP)
- Risk Management Programme (RMP)
or equivalent government-recognised programmes.
Copies of current certifications shall be provided upon request.
6. Product Traceability & Recall
Suppliers shall maintain complete product traceability throughout their supply chain.
Products supplied to Goodsnet must be fully traceable by:
- Batch number
- Lot number
- Manufacturing date
- Best Before or Use By date
- Production records
- Distribution records
Suppliers shall provide all traceability documentation requested by Goodsnet.
Goodsnet operates comprehensive traceability systems, including GS1 ProductRecallNZ, to support rapid product withdrawals and recalls where required.
Suppliers agree to cooperate fully with any product recall, withdrawal, investigation or regulatory action.
7. Product Changes
Suppliers must notify Goodsnet in writing before implementing any changes affecting an approved product.
This includes changes to:
- Ingredients
- Formulation
- Nutritional composition
- Manufacturing process
- Manufacturing site
- Country of Origin
- Packaging
- Labels
- Artwork
- Product claims
- Shelf life
- Food Safety certifications
Goodsnet reserves the right to require reassessment before approval is maintained.
8. Delivery & Documentation
Products shall be delivered in accordance with the agreed Purchase Order.
Suppliers shall provide all required documentation before shipment, including where applicable:
- Commercial Invoice
- Packing List
- Certificate of Origin
- Health Certificates
- Certificates of Analysis
- Shipping documents
- Batch and traceability information
- Regulatory declarations
Late deliveries or incomplete documentation may result in delays, rejection or additional costs.
9. Inspection & Acceptance
Goodsnet reserves the right to inspect, sample, test, quarantine or reject any goods supplied.
Products may be rejected where they are:
- Unsafe
- Damaged
- Incorrectly labelled
- Outside specification
- Non-compliant
- Expired or short dated
- Incorrectly documented
Acceptance of delivery does not constitute final acceptance of product quality or compliance.
10. Non-Conformance & Cost Recovery
Where supplier non-conformance results in additional costs to Goodsnet, Goodsnet reserves the right to recover all reasonable costs incurred.
These may include:
- Freight costs
- Storage charges
- Product testing
- Product relabelling
- Product destruction
- Product disposal
- Product recalls
- Product withdrawals
- Customer claims
- Retailer chargebacks
- Warehousing costs
- Administrative costs
- Professional fees
- Legal costs
Suppliers may also be required to provide corrective actions and root cause investigations.
11. Commercial Engagement
Goodsnet provides professional services including regulatory compliance, technical assessments, product approvals, retailer onboarding, market development, sales support and strategic consulting.
Where Goodsnet undertakes work at the request of a supplier, manufacturer, brand owner, authorised representative, consultant, agent or any third party acting on behalf of a supplier or brand owner, such work is undertaken on the understanding that the requesting party has the authority to engage Goodsnet and that agreed commercial terms will be honoured.
The involvement of an intermediary, consultant, representative or other third party does not, of itself, transfer or remove responsibility for authorised work undertaken for the benefit of a supplier, manufacturer or brand owner unless expressly agreed by Goodsnet in writing.
Goodsnet expects all commercial partners to act in good faith and to honour all agreed contractual and commercial obligations.
12. Audits & Verification
Goodsnet reserves the right to:
- Review supplier documentation.
- Verify technical information.
- Conduct supplier assessments.
- Review manufacturing certifications.
- Verify traceability systems.
- Request updated documentation.
- Review product compliance.
Suppliers shall cooperate fully with reasonable audit requests.
13. Confidentiality
All commercial, technical and regulatory information exchanged between Goodsnet and its suppliers shall remain confidential unless disclosure is required by law or authorised in writing.
14. Suspension & Termination
Goodsnet reserves the right to suspend or terminate supplier approval where a supplier:
- Fails to meet Goodsnet's Supplier Standards.
- Breaches applicable legislation.
- Fails to maintain required certifications.
- Supplies non-compliant products.
- Fails to honour agreed commercial obligations.
- Provides false or misleading information.
- Commits a material breach of contract.
Goodsnet may also suspend product approvals or remove suppliers from the Approved Supplier Register.
15. Governing Law
These Terms shall be governed by and interpreted in accordance with the laws of New Zealand.
Any dispute arising from these Terms shall be subject to the exclusive jurisdiction of the New Zealand Courts unless otherwise agreed in writing.
